These Terms and Conditions ("Terms") govern your access to and use of the MentorTalk mobile application and website at www.mentortalk.app (collectively, the "Platform"), operated by MentorTalk Edutech Private Limited ("MentorTalk", "we", "us", "our"), a company registered under the laws of India with its registered office at Hsd-416, Bahadurgarh, Hr, Bahadurgarh, Jhajjar, Haryana, India, 124507.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Overview of the Platform
MentorTalk is an educational technology platform that connects mentors with mentees for academic guidance in areas including but not limited to CUET, SSC, JEE, NEET, Class 10, and Class 12 board examinations. The Platform facilitates mentoring sessions between mentors and mentees, which may include text-based chat, audio calls, video calls, and any other communication methods made available on the Platform from time to time. Sessions are billed on a per-minute basis.
MentorTalk acts as an intermediary platform connecting mentors and mentees. We do not provide educational content, tutoring, or mentoring services directly.
2. Eligibility
- You must be at least 16 years of age to use the Platform.
- Users between 16 and 18 years of age must have the consent of a parent or legal guardian. By registering, such consent is deemed to have been provided.
- Mentors must be at least 18 years of age and must complete the verification process including identity verification, education document submission, and admin approval before providing services on the Platform.
By using the Platform, you represent that you meet these eligibility requirements and that the information you provide is accurate and complete.
3. Account Registration
- You must register an account to use the Platform. Registration is completed via phone number verification through Truecaller or OTP.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must provide accurate, current, and complete information during registration and keep it updated.
- You may not create multiple accounts, use another person's account, or transfer your account to anyone.
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
4. Mentor Onboarding and Verification
- Mentors must complete a multi-step onboarding process including personal details submission, Aadhaar identity verification, selfie upload, education document upload, category selection, and any additional information as required.
- All mentor applications are subject to admin review and approval. MentorTalk reserves the right to approve, reject, or request changes to any application at its sole discretion.
- Approval of a mentor application does not constitute an employment relationship. Mentors operate as independent service providers.
- MentorTalk verifies mentor credentials to the best of its ability but does not guarantee the accuracy, reliability, or quality of any mentor's advice or guidance.
- Mentors whose applications are rejected may reapply after the specified cooldown period, subject to maximum attempt limits.
5. Services and Sessions
- The Platform facilitates mentoring sessions between mentors and mentees. Sessions may include text-based chat, audio calls, video calls, and any other communication methods made available on the Platform from time to time.
- Sessions are billed on a per-minute basis at the rate displayed on the mentor's profile.
- MentorTalk does not guarantee the availability of any particular mentor at any given time.
- The advice and guidance provided by mentors represent their personal knowledge and opinions. MentorTalk does not endorse, verify, or guarantee the accuracy or effectiveness of any advice given during sessions.
- Users should exercise their own judgment when acting on any guidance received through the Platform.
6. Payments, Wallet, and Billing
- Mentees must maintain a sufficient wallet balance to initiate and continue sessions. Wallet top-ups are processed through Razorpay.
- Sessions are charged on a per-minute basis. Charges are deducted from the mentee's wallet balance in real-time during a session.
- Mentor pay rates are determined by MentorTalk and may vary based on qualifications, experience, and category.
- All prices displayed on the Platform are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
- Payment processing is handled by Razorpay. By making a payment, you agree to Razorpay's terms of service.
7. Refund Policy
Refunds may be issued to your MentorTalk wallet in the following circumstances:
- Technical glitches or platform errors that disrupted a session (e.g., connectivity issues on our end, app crashes, billing errors).
- Session charged without actual service being provided.
- Duplicate or erroneous charges.
To request a refund, contact us at support@mentortalk.app within 48 hours of the session, providing details of the issue.
Refund requests will be reviewed by our team and processed as soon as possible if approved.
Refunds are credited to your MentorTalk wallet, not to the original payment method, unless the wallet balance exceeds the refund amount or the account is being closed.
No refunds will be issued for dissatisfaction with the quality or accuracy of a mentor's advice, as MentorTalk is an intermediary platform and does not control the content of sessions.
MentorTalk reserves the right to approve or deny refund requests at its discretion based on investigation findings.
8. User Conduct
All users (mentors and mentees) agree not to:
- Provide false, misleading, or inaccurate information.
- Use the Platform for any unlawful, fraudulent, or harmful purpose.
- Harass, abuse, threaten, or intimidate other users.
- Share obscene, offensive, defamatory, or inappropriate content.
- Attempt to contact other users outside the Platform to circumvent billing.
- Share personal contact information (phone numbers, email, social media) during sessions.
- Copy, reproduce, distribute, or commercially exploit any content from the Platform.
- Attempt to hack, reverse-engineer, or interfere with the Platform's systems or security.
- Create multiple accounts or impersonate another person.
- Use the Platform to promote competing services or products.
MentorTalk reserves the right to suspend or terminate accounts that violate these conduct guidelines without prior notice and without refund.
9. Mentor Obligations
Mentors additionally agree to:
- Provide accurate information during the onboarding process.
- Maintain professional conduct during all interactions with mentees.
- Provide guidance only within their areas of verified expertise.
- Not make guarantees about exam results, admissions, or outcomes.
- Not solicit mentees for off-platform transactions or services.
- Comply with all applicable laws and regulations.
10. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design of the Platform, is the property of MentorTalk Edutech Private Limited or its licensors and is protected by Indian copyright and intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written permission.
By submitting content through the Platform (such as chat messages, profile information, or feedback), you grant MentorTalk a non-exclusive, worldwide, royalty-free license to use, display, and process such content for the purpose of operating and improving the Platform.
11. Disclaimer of Warranties
- The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
- MentorTalk does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- MentorTalk does not endorse, guarantee, or assume responsibility for the accuracy, reliability, or quality of any advice, information, or services provided by mentors.
- Mentors are independent service providers, not employees of MentorTalk. Any advice received through the Platform should not be treated as a substitute for professional academic counselling.
- MentorTalk makes no guarantees regarding exam results, admissions, or academic outcomes based on the use of our services.
12. Limitation of Liability
- To the maximum extent permitted by applicable law, MentorTalk, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform.
- MentorTalk's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount paid by you to MentorTalk in the 3 months preceding the claim.
- MentorTalk shall not be liable for any failure or delay in providing services due to events beyond its reasonable control, including but not limited to acts of God, government actions, natural disasters, pandemics, cyber-attacks, or disruptions in telecommunications.
13. Indemnification
You agree to indemnify, defend, and hold harmless MentorTalk, its parent, subsidiaries, affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
14. Account Termination
- You may delete your account at any time through the app settings or by contacting support@mentortalk.app.
- Upon account deletion, any remaining wallet balance will be handled as per our refund policy.
- MentorTalk reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.
- Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue in effect.
15. Modifications to Terms
We may modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Platform after modifications constitutes acceptance of the updated Terms. We will notify users of material changes through in-app notifications.
16. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any dispute arising from these Terms, including the determination of scope or applicability, shall first be attempted to be resolved through good-faith negotiation.
- If unresolved within 30 days, the dispute shall be referred to arbitration conducted by a sole arbitrator appointed by mutual consent, under the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be New Delhi, India, and proceedings shall be in English.
- The arbitral award shall be final and binding. Either party may seek interim relief from the courts of New Delhi to protect its rights pending arbitration.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MentorTalk regarding the use of the Platform and supersede any prior agreements.
